Introduction
These Terms and Conditions ("Terms") govern the use of the MBT website ("Platform"), a corporate travel-management solution provided by Vcantine Travel and Trade Ltd ("Provider"). By accessing or using the Platform, the Corporate Client ("Client") acknowledges and agrees to be legally bound by these Terms. If the Client does not agree to these Terms, the Client must refrain from using the Platform.
Definitions
"Client" means a corporate entity that registers to use the Platform. "User" means any employee, contractor, or agent of a Client who accesses the Platform. "Services" means the Platform features, including flight and hotel booking, approval workflows, policy controls, reporting, integrations, and related support.
Purpose and Scope of the Platform
The Platform provides a centralised interface for Corporate Clients ("Client") to manage travel bookings, including flights and hotels, enforce internal travel policies, and manage approval workflows for Authorised Users (employees/contractors).
The Platform is made available exclusively for legitimate business purposes and is intended to enable Clients to:
  • Manage and administer employee travel bookings, including flights, hotels, and related services
  • Implement and enforce internal travel policies
  • Facilitate approval workflows
  • Consolidate travel-related data, documentation, and reporting
We provide a centralized system for booking and managing travel in accordance with Client travel policies. We may integrate with travel suppliers, GDS, payment providers, and third-party services. We may update, modify, or discontinue features at any time without liability.
The Provider does not supply travel services directly but facilitates access to third-party suppliers.
Client Obligations
The Client shall:
  • Provide accurate, complete, and current information regarding its organization and authorized users;
  • Ensure that all employee data provided for account creation is accurate and that they have the right to share such data;
  • Ensure the confidentiality of administrative accounts and for all activities occurring under corporate credentials and proper use of login credentials;
  • Ensure that all users comply with the Client’s internal travel policies and these Terms;
  • Use the Platform solely for lawful business purposes;
  • Promptly notify the Provider of any unauthorized access, security breach, or misuse of the Platform;
  • The Client is responsible for all activity conducted under its accounts;
  • Make payment of bookings, cancellation fees, change fees, and any taxes or surcharges.
User Accounts and Access Management
The Client may create, modify, and deactivate user accounts for its employees. The Client is solely responsible for:
  • Assigning appropriate access rights and approval roles
  • Ensuring that user access aligns with employment status and responsibilities
  • Removing or disabling accounts when employees leave the organization or no longer require access
The Provider bears no liability for misuse arising from the Client’s failure to manage user access appropriately.
Booking Services and Third-Party Suppliers
The Platform enables Clients to make travel reservations through third-party suppliers ("Suppliers"). The Client acknowledges that:
  • The Provider does not own, operate, or control airlines, hotels, or other travel service providers;
  • All bookings are subject to the terms, conditions, and policies of the respective Suppliers;
  • The Provider is not responsible for Supplier actions, omissions, cancellations, delays, or service failures;
  • Bookings made through the Platform are subject to the terms and conditions of the travel suppliers (airlines, hotels, etc.). We act as a technology provider and/or travel intermediary, supplier terms govern major travel services;
  • The Provider will use commercially reasonable efforts to assist the Client in resolving booking-related issues but does not guarantee resolution;
  • We may collect payments, issue invoices, or facilitate billing per your selected billing arrangement (corporate card, virtual card, invoice terms). Payment is due per the invoice terms. Late payments may incur interest and suspension of Services.
Travel Policies and Approval Workflows
The Client is solely responsible for configuring its travel policies and approval processes within the Platform. The Provider shall not be liable for:
  • Incorrect or incomplete policy configurations;
  • Approvals granted in error;
  • Bookings made outside policy parameters due to Client settings;
  • The Platform supports Client-configurable approval workflows and policy controls. We do not guarantee that Users will comply with Client policies; Clients remain responsible for enforcement and oversight.
The Client assumes full responsibility for ensuring compliance with its internal governance requirements.
Cancellations, Changes, and Refunds
Cancellation and refund eligibility is determined by the travel supplier and applicable fare/hotel rules. We will assist but are not responsible for supplier denials unless caused by our gross negligence or willful misconduct.
Fees, Billing, and Payment Terms
Fees associated with the use of the Platform are defined in the applicable commercial agreement or subscription order. The Client agrees to:
  • Pay all subscription, service, and transaction fees
  • Pay any additional charges imposed by Suppliers
  • Comply with the payment terms specified in the commercial agreement
Failure to pay fees may result in suspension or termination of access to the Platform.
Data Ownership and Usage
The Client retains all rights, title, and interest in and to the data it uploads or generates through the Platform ("Client Data"). The Provider may process Client Data solely for the purpose of:
  • Delivering and improving the Platform
  • Providing analytics and reporting
  • Ensuring security, compliance, and operational integrity
  • Clients grant us a non-exclusive, worldwide license to host, store, display, transmit, and process Client Data as necessary to provide Services, integrate with third parties, and improve the Platform. We will use reasonable measures to protect Client Data as set out in our Privacy Policy.
The Provider may use aggregated or anonymized data for statistical or analytical purposes, provided such data cannot reasonably identify the Client or its employees.
Intellectual Property
We retain all rights, title, and interest in the Platform, software, content, and documentation. Clients receive a limited, non-exclusive, non- transferable license to use the Platform as permitted by these Terms.
Clients retain ownership of their data and content submitted through the Platform, subject to the license below.
Confidentiality
Each party will keep confidential the other party’s confidential information and use it only to perform obligations. Confidential information excludes information that is public, independently developed, or rightfully received without restriction.
Security
We maintain commercially reasonable administrative, physical, and technical safeguards to protect Client Data. Clients should also maintain appropriate security practices (strong passwords, access controls).
Third-Party Services and Links
The Platform may include third-party integrations and links. We are not responsible for third-party services’ availability, accuracy, or practices. Use of third-party services is subject to their terms.
Service Availability and Maintenance
The Provider shall use commercially reasonable efforts to maintain the availability and performance of the Platform. However, the Provider does not warrant uninterrupted or error-free operation. Scheduled maintenance, updates, or unforeseen circumstances may result in temporary service interruptions.
Limitation of Liability
To the maximum extent permitted by law, our liability for any claim arising from or related to these Terms or the Services is limited to the amounts paid by the Client to us in the twelve (12) months preceding the claim. In no event will we be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, even if advised of the possibility of such damages.
Indemnification
Client will indemnify, defend, and hold us harmless from any third-party claim arising out of: (a) Client Data; (b) Client’s breach of these Terms; (c) Client’s negligence, willful misconduct, or violation of law; and (d) claims related to supplier bookings made by or on behalf of Client.
Term and Termination
Term begins on the effective date in the Order Form. Either party may terminate for material breach if the breach remains uncured after written notice and a cure period (e.g., 30 days).
Upon termination, Client’s access will cease. We may retain backups for a limited period. Fees paid are non-refundable except as required by law or as stated in a separate Agreement.
The Provider will handle Client data in accordance with the Privacy Policy and applicable data-retention obligations.
Termination does not relieve the Client of any outstanding payment obligations.
Data Return and Deletion
Upon termination, we will provide Client with access to export their data within a defined period (e.g., 30 days); after that period, we may securely delete or anonymize Client Data, subject to legal retention requirements.
Compliance with Laws
Each party will comply with applicable laws and regulations, including export control laws, anti-bribery, and anti-corruption laws. Clients must ensure travel reservations comply with applicable local laws and employment rules.
Amendments
The Provider reserves the right to amend these Terms at any time. Material changes will be communicated to the Client. Continued use of the Platform following such changes constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Iraq and the Kurdistan Regional Government, as applicable. Disputes shall be submitted to competent courts in Erbil, Iraq unless otherwise agreed in writing.
